Shrewd LMS Terms of Use

Welcome to Shrewd LMS, a product of Terus Technology LTD (“we”, “us”, or “our”). By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions (“Terms”). Please read these Terms carefully before using our services.

1. Acceptance of Terms

By using Shrewd LMS, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use our services.

2. Service Description

Shrewd LMS is a Microsoft Teams Application designed for teachers to create and manage courses, which students or employees can enroll in and complete.

3. Free Trial Offer

All organizations are permitted to create and utilize one course free of charge within their Microsoft Teams environment. If additional courses are required, please inquire via email at support@shrewdlms.com for further information and pricing.

4. Fair Use of Trial Course

We encourage organizations to use the trial course responsibly. “Excessive usage” is defined as any of the following:

  • Enrollment of more than 200 students in a single course.
  • Course content exceeding 500MB in size.

If usage is deemed excessive, we reserve the right to temporarily disable access to the service. In such an event, we will notify the administrator or relevant platform users and provide an opportunity to purchase a license for continued access.

5. Payment Terms

  • The service is provided upon receipt of a Purchase Order or payment of the invoice issued by us.
  • Our services are billed annually. An invoice will be sent to the designated main contact on the account 30 days prior to the renewal date.
  • Payment for the services is expected within 30 days from the date of the invoice.
  • If payment is not received within the stipulated time frame, we will issue two reminders over the following 30 days. If payment is still not received after these reminders, we reserve the right to terminate the service.
 

6. Intellectual Property Rights

  • All courses and content created on the Shrewd LMS platform are the intellectual property of the customer. As such, you retain all rights, title, and interest in and to the content you create, including any copyrights or other intellectual property rights.
  • We reserve all rights in the Shrewd LMS software and content, other than those expressly granted to you herein.
 

7. Complaints

We take complaints seriously. If you have any complaints about our service or these Terms, please send them to our business address or contact us via email at support@shrewdlms.com. We will review your complaint and respond appropriately.

8. Use of Services

You agree to use Shrewd LMS in accordance with all applicable laws and regulations. You are solely responsible for your use of our services, and you agree not to:

  • Use the service for any unlawful purpose.
  • Attempt to interfere with the operation of the service or any user’s access to it.
  • Transmit any malicious code or harmful material.
 

9. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of Shrewd LMS, including but not limited to loss of profits, data, or other intangible losses.

10. Governing Law

These Terms and any disputes arising under or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Shrewd LMS following any changes signifies your acceptance of the updated Terms.
